These Terms of Service ("Terms") govern your use of the Artinscale platform and services. By accessing or using our platform, you agree to be bound by these Terms.

1. Platform Overview

Artinscale is a story-driven platform that connects people with artists to create meaningful artwork. Our platform facilitates the collaborative creation process from people's inspiration to final artwork available for purchase.

2. User Accounts and Eligibility

• You must be at least 13 years old to use our platform
• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security and confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access to your account

3. Contributions

3.1 Contribution Guidelines

• All contributions must be original and not infringe on third-party intellectual property rights
• Contributions must comply with our Contributor Guidelines
• You warrant that you have the right to submit all contributions
• We reserve the right to moderate, edit, or remove any contributions at our discretion

3.2 Rights in Contributions

• By submitting contributions, you grant Artinscale a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such contributions
• You waive all moral rights in your contributions to the fullest extent permitted by law
• You acknowledge that contributions may be shared with artists as part of the collaborative creation process
• You understand that you have no ownership rights in the final artwork created

4. Artist Participation

4.1 Artist Obligations

• Artists must create original work based on people's contributions
• All artwork created constitutes "work made for hire" with Artinscale as the sole owner
• Artists must comply with quality standards and deadlines as specified in artist agreements
• Artists cannot reproduce, sell, or distribute artwork outside of Artinscale without explicit written permission

4.2 Compensation

• Artist compensation is outlined in separate artist agreements
• Compensation does not include ongoing royalties from future sales or exploitation of artwork
• Payment terms and schedules are specified in individual artist contracts

5. Intellectual Property Rights and Ownership

5.1 Artwork Ownership

• Complete Ownership: All artwork created through our platform is exclusively owned by Artinscale in perpetuity
• Worldwide Rights: Artinscale owns all rights, title, and interest in the artwork worldwide
• Commercial Rights: Artinscale has unrestricted rights to sell, license, distribute, reproduce, modify, and create derivatives of all artwork

5.2 External Sales and Distribution

• Artinscale has absolute rights to sell artwork through any channels, including third-party platforms, marketplaces, galleries, and licensing deals
• All revenues from external sales, licensing, or exploitation belong exclusively to Artinscale
• No additional compensation is owed to contributors or artists for external sales

5.3 Protection Against Claims and Enhanced IP Security

• Irrevocable Waiver: Users irrevocably waive any right to make future claims against Artinscale regarding artwork ownership, commercial exploitation, revenue sharing, or moral rights
• Shortened Statute of Limitations: Any IP-related claims must be brought within 30 days of the alleged infringement, after which such claims are forever time-barred
• Comprehensive Indemnification: Users agree to defend, indemnify, and hold harmless Artinscale against any third-party IP claims, including attorney fees and court costs
• No Injunctive Relief: Users waive the right to seek injunctive or equitable relief that would prevent or restrict the sale, distribution, or exploitation of artwork
• Liquidated Damages: Users acknowledge that any breach of IP terms would cause irreparable harm, and agree to pay liquidated damages of $10,000 per violation
• Worldwide Enforceability: These IP protections are enforceable worldwide and survive any termination of user accounts or these terms

5.4 AI and Technology Rights

• AI Training Rights: Artinscale may use all contributions and artwork to train artificial intelligence models, machine learning systems, or other automated technologies
• Derivative Technology: Any AI models, algorithms, or technologies developed using platform content are exclusively owned by Artinscale
• Future Technology: These rights extend to all future technologies, including those not yet invented or commercially available

5.5 Blockchain and NFT Rights

• Blockchain Rights: Artinscale has exclusive rights to mint, sell, or distribute artwork as NFTs or other blockchain-based assets
• Cryptocurrency Revenues: All revenues from NFT sales, cryptocurrency transactions, or blockchain-based exploitation belong exclusively to Artinscale
• Smart Contract Authority: Artinscale may create smart contracts or automated systems governing artwork distribution without additional user consent

6. Purchases and Payments

• All prices are subject to change without notice
• Payment processing is handled by secure third-party providers
• All sales are final unless otherwise specified in our Refund Policy
• You are responsible for all applicable taxes and fees
• We reserve the right to refuse or cancel orders at our discretion

7. Prohibited Uses

You may not use our platform to:

• Submit offensive, harmful, illegal, or inappropriate content
• Spam, harass, or abuse other users
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated tools to scrape, collect, or extract data from our platform
• Impersonate others or create fake accounts
• Violate any applicable laws or regulations
• Interfere with the proper functioning of our platform

8. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which governs how we collect, use, and protect your personal information. By using our platform, you consent to the collection and use of your information as described in our Privacy Policy.

9. Disclaimers and Limitation of Liability

9.1 Service Disclaimers

Our platform is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 Limitation of Liability

• To the fullest extent permitted by law, Artinscale shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid to us in the twelve months preceding the claim, or $100, whichever is less
• Any claims must be brought within one year of when the claim arose

9.3 Indemnification

You agree to defend, indemnify, and hold harmless Artinscale from any claims, damages, or expenses arising from your use of the platform, your contributions, or your violation of these Terms.

10. Termination

• We may suspend or terminate your account at any time, with or without cause
• You may close your account by contacting our support team
• Upon termination, your right to use the platform ceases immediately
• Sections relating to intellectual property, liability, and dispute resolution survive termination

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of Greece, without regard to conflict of law principles.

11.2 Dispute Resolution

• Any disputes shall be resolved through binding arbitration in Athens, Greece
• Arbitration shall be conducted under ICC rules
• You waive your right to participate in class actions or representative proceedings
• Each party bears their own costs, except Artinscale may recover costs if it prevails

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or platform notifications. Continued use of the platform after changes constitutes acceptance of the updated Terms.
